Welcome to Ghost Social’s Terms of Service — it is a legal agreement between you and Ghost Social. By using our services and platform, you agree to these Terms and to our Privacy Policy. Please read them carefully.

Ghost Social (“Ghost Social,” “we,” “us,” or “our”) provides AI-powered tools for social matching, networking, and community building. These Terms explain how you may use our Website and Platform and what we expect from Users.

Important — please read before using the platform

By agreeing to these Terms you are waiving your right to seek relief in a court of law and waiving your right to have a jury trial on your claims. These Terms require you to resolve most disputes with Ghost Social on an individual basis through final and binding arbitration. See Section 21 for details.

1. Agreement to terms

By accessing the Website, creating an Account, or using the Platform, you agree to these Terms and all applicable laws. If you do not agree, do not use our services.

2. Key definitions

Ghost Social:
The company.
Ghost:
Ghost Social’s AI agent that Users interact with through Chat, Talk, or Type to create and edit Profiles.
Website:
The public site where anyone can learn about Ghost Social and log into the Platform.
Platform:
The products Users interact with after logging in.
Matching Engine:
The system that identifies potential connections between Members.
User:
Anyone who uses the Platform (includes both Hosts and Members).
Host:
A User who creates and manages a Community.
Member:
A User who joins a Community by creating a Profile and receiving Matches.
Community:
A group of Members created by a Host.
Invite:
The process of inviting new Members to a Community.
Host Portal:
Tools Hosts use to configure their Community experience.
The Ghost Network:
The aggregate of all Communities.
Account:
Linked to a single email and/or phone number; stores basic info, preferences, and settings.
Profile:
Created by interacting with Ghost; captures details about a Member and their matching goals.
Chat / Talk / Type:
The interactions with Ghost that build Profiles and help Users navigate the Platform.
Notifications:
Alerts or in-platform messages that keep Users informed of activity.
Onboarding:
The initial setup process for new Users.
Matches:
Members connected as part of a Community.
Analytics:
Data tools for Hosts showing Community activity and engagement.
Powered by Ghost Social:
Integration of Ghost Social features into a third-party platform via API.
API:
The technical interface for integrating Ghost Social features into other platforms.
Organization:
A brand or host entity that an Account can represent. An Account may represent more than one Organization.
Moment:
A real-life event a Host creates that can be sponsored.
Guest / Attendee:
A person who attends a Moment, distinct from a Member who joins a matching Community.
Sponsor (Brand):
An Organization that funds a Moment in exchange for agreed offerings. Sponsors do not create Moments — they sponsor Moments created by Hosts.
Sponsorship Brief:
The summary a Host publishes to attract Sponsors to a Moment.
Offer / Deal:
The negotiated agreement between a Host and a Sponsor, covering the sponsorship amount and offerings.
Deliverable:
What a Host provides in return under a Deal — for example logo placement, tickets, or guest list access.
Voice Interview:
An optional AI interview used to enrich a Profile or Organization. Audio is not retained; only the transcript and summary are stored.

3. Services

Ghost Social helps Users connect through:

  • Talk, Chat, or Type with Ghost
  • Matching Engine that connects Members
  • Sponsor matching that connects Hosts and their Moments with Sponsors
  • Analytics for Hosts to understand engagement

Our focus is on quality, meaningful Matches.

4. Eligibility

To use Ghost Social you must:

  • Be at least 18 years old
  • Have legal capacity to agree to these Terms
  • Provide accurate information
  • Not be banned from the Platform
  • Maintain only one personal Account, though that Account may represent more than one Organization

If you use the Platform on behalf of an Organization, you confirm you are authorized to act for and bind that Organization to these Terms.

We may restrict access in some regions.

5. Account setup

Onboarding:
Provide your contact information.
Chat, Talk, or Type:
Interact with Ghost to create your Profile.
Acceptance:
By completing Onboarding, you accept these Terms and consent to the use of your Profile for Matches.

6. Privacy

Your data is handled according to our Privacy Policy. We collect and use your information for Matches, service improvement, and communication. Please review our Privacy Policy regularly.

7. Communications

By joining, you consent to receive:

  • Service updates and Notifications
  • Community invitations and announcements
  • Product news and partnership opportunities

You may opt out of promotional communications at any time.

8. License and use

You may use the Platform for personal use, and Hosts and Sponsors may use it for their business and sponsorship activities. In all cases you may not:

  • Copy or reverse engineer our systems
  • Use automated tools to interact with the Platform
  • Sell or transfer your Account
  • Misuse the Platform for illegal or harmful purposes

We do not guarantee uninterrupted or error-free service.

9. User conduct

You agree to:

  • Be truthful in your Profile
  • Respect other Users
  • Comply with laws and our community guidelines

You may not engage in harassment, impersonation, fraud, illegal activity, or misuse of the Platform. Violations may result in suspension, termination, or legal action.

10. AI interactions

Ghost Social’s AI agent (“Ghost”) helps create Profiles and Matches. Ghost is powered by AI systems that may produce inaccurate, incomplete, or unexpected outputs. Ghost should not be relied upon for professional advice of any kind, including medical, legal, financial, psychological, or safety-related advice. Conversations with Ghost do not create binding agreements between you and Ghost Social.

Ghost Social’s use of AI and algorithms to provide the Platform, facilitate Matches, or otherwise improve your experience does not constitute a guarantee or warranty of any kind, express or implied. The outputs of Ghost are provided for informational and facilitative purposes only. You assume all risk associated with your reliance on or use of any AI-generated content, Profile information, Match suggestions, or other outputs from Ghost.

11. Data security

We use industry-standard measures to protect your data, including encryption and access controls. Some data may be shared with trusted partners under strict agreements. See our Privacy Policy for details.

12. Third-party services

We may integrate with third-party AI, advertising, or communication platforms. Their terms apply to your use of those services.

13. Matching and introductions

The Matching Engine suggests Matches, but compatibility is not guaranteed. Members control what information to share and whether to pursue connections.

Sponsor matching works the same way: we may surface a Moment to Sponsors or a Sponsor to Hosts, but we do not guarantee that a Sponsor will be found or that any Deal will be reached.

14. Sponsorships & deals

Ghost matches Hosts and their Moments with Sponsors and helps the two sides reach a Deal. The Deal is an agreement between the Host and the Sponsor. Ghost is not a party to it and is not responsible for either side’s performance of it.

Sponsors fund Moments; they do not create them. A Sponsor’s materials live in its Organization settings and do not appear on a Moment unless displaying its logo, branding, or materials at the event is agreed as a Deliverable of the Deal.

Deliverables and offerings are the responsibility of the Host and Sponsor. Guest list access, where offered, is shared with a Sponsor only after a Deal is finalized and only if it was agreed as a Deliverable.

Commission: Member-to-member matching is free. For cash sponsorships or vendor deals made through Ghost, we take a commission. Any fee is disclosed before you commit to a Deal.

15. Intellectual property

Ghost Social owns its software, branding, and Platform. You retain rights to your own Content but grant us a license to use it for providing services. We may remove Content that violates these Terms.

Sponsors grant Ghost and the relevant Host a license to display their brand marks and materials as needed to provide the service — in the Sponsor’s Organization settings, and at a Moment only where agreed as a Deliverable.

16. Payment

Member-to-member matching is free. For cash sponsorships and vendor deals made through Ghost, we take a commission, disclosed before you commit. Ghost may facilitate payment between a Host and a Sponsor but is not a party to their agreement. Any premium features or Communities that involve fees will be clearly communicated before purchase.

17. Disclaimers

The Platform and all services are provided “as is” and “as available.” Ghost Social disclaims all representations and warranties, express, implied, or statutory, not expressly set out in these Terms, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Ghost Social makes no representation, warranty, or guarantee regarding the reliability, accuracy, timeliness, quality, suitability, or availability of the Platform or any Matches, introductions, connections, sponsorship Deals, or other outcomes facilitated through the Platform, or that the Platform will be uninterrupted or error-free.

Ghost Social does not guarantee the quality, suitability, safety, compatibility, honesty, or conduct of any User, Host, Member, Sponsor, or other third party you encounter through the Platform. You agree that the entire risk arising out of your use of the Platform, and any interaction, connection, transaction, Deal, or relationship arising therefrom, remains solely with you, to the maximum extent permitted under applicable law.

Ghost Social does not control, endorse, or take responsibility for any User Content or third-party content available on or linked to by the Platform. Ghost Social cannot and does not represent or warrant that the Platform is free of viruses or other harmful components.

If a dispute arises between you and any other User, Host, Member, Sponsor, or third party, you release Ghost Social and its affiliates, officers, directors, employees, and agents from claims, demands, and damages of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.

18. Limitation of liability

To the fullest extent permitted by applicable law, Ghost Social and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages, including without limitation lost profits, lost data, loss of goodwill, personal injury, death, or property damage, arising out of or in connection with your use of or inability to use the Platform, regardless of the form of action and whether based in contract, tort (including negligence, whether active, affirmative, sole, or concurrent), statute, or any other legal or equitable theory, even if Ghost Social has been advised of the possibility of such damages.

Ghost Social shall not be liable for any damages, liability, or losses arising out of:

  • (i) your use of or reliance on the Platform, or your inability to access or use the Platform;
  • (ii) the outcome, performance, or non-performance of any Match, introduction, connection, sponsorship Deal, Moment, or other interaction between Users, including between Hosts and Sponsors;
  • (iii) any content, information, or representations made by any User on the Platform;
  • (iv) any transaction or relationship between you and any other User, Host, Member, or Sponsor, even if Ghost Social has been advised of the possibility of such damages;
  • (v) delay or failure in performance resulting from causes beyond Ghost Social’s reasonable control.

The limitations and disclaimers in this section do not purport to limit liability or alter your rights as a consumer that cannot be excluded under applicable law. Because some states or jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, in such states or jurisdictions, Ghost Social’s liability shall be limited to the maximum extent permitted by law.

18A. Indemnification

You agree to indemnify, defend, and hold harmless Ghost Social and its affiliates, officers, directors, employees, and agents from and against any and all claims, demands, actions, losses, liabilities, costs, damages, and expenses (including reasonable attorneys’ fees) arising out of or in connection with:

  • your use of the Platform or any services or outcomes obtained through your use of the Platform;
  • your breach or violation of any of these Terms;
  • Ghost Social’s use of your Content as permitted under these Terms;
  • your violation of the rights of any third party, including any other User, Host, Member, or Sponsor; or
  • your violation of any applicable law or regulation.

Ghost Social reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.

18B. No agency; no partnership

No joint venture, partnership, employment, or agency relationship exists between you and Ghost Social, or between any Host, Member, Sponsor, or other User and Ghost Social, as a result of these Terms or your use of the Platform. Ghost Social is not a party to any agreement between a Host and a Sponsor, and nothing in these Terms shall be construed to make Ghost Social liable for the acts or omissions of any User.

18C. Force majeure

Ghost Social shall not be liable for any failure or delay in performance arising out of or related to causes beyond Ghost Social’s reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, labor disputes, government action, internet or telecommunications failures, power outages, or third-party service failures.

19. Termination

You may close your Account at any time. We may suspend or terminate Accounts that violate these Terms or create risks. Some data may be retained as required by law.

20. Governing law

These Terms are governed by the laws of Delaware, USA. Disputes will be handled in Delaware courts, unless resolved by arbitration as outlined below.

21. Dispute resolution

Important: please read this section carefully. It affects your legal rights.

By agreeing to these Terms, you agree that you are required to resolve any claim or dispute you may have against Ghost Social on an individual basis in binding arbitration, not in a court of law, and not as a class, collective, mass, coordinated, consolidated, or representative action. You and Ghost Social are each waiving your right to a jury trial and your right to participate in a class action.

21.1 Covered disputes

You and Ghost Social agree that any dispute, claim, or controversy arising between you and Ghost Social — including disputes arising out of or relating to these Terms, the Platform, or any interaction, Match, Deal, or Moment facilitated through the Platform — will be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its then-current Consumer Arbitration Rules, except as expressly provided below.

This Arbitration Agreement survives after your relationship with Ghost Social ends.

21.2 Class action and mass action waiver

Any and all disputes shall be resolved only in individual arbitration. You and Ghost Social expressly waive the right to bring, administer, or participate in any class, collective, coordinated, consolidated, mass, or representative action. No arbitrator shall have authority to hear or administer any such action or to award relief to anyone other than the individual claimant. This waiver applies even if Ghost Social or you is represented by counsel that has filed 50 or more substantially similar arbitration demands against the other party within 180 days.

If for any reason a claim cannot proceed in arbitration, this Class Action and Mass Action Waiver shall remain in effect, and any such claim must be litigated in an individual proceeding in the courts specified in Section 20.

21.3 Delegation

Only an arbitrator — not any court or agency — shall have authority to resolve disputes about the interpretation, applicability, enforceability, or formation of this Arbitration Agreement, including any claim that any part of it is void or voidable. The Federal Arbitration Act (9 U.S.C. § 1 et seq.) governs this Arbitration Agreement.

21.4 Pre-arbitration informal resolution

Before initiating arbitration, you must provide Ghost Social written notice of your claim and attempt to resolve it informally by participating in a good-faith conference (via telephone or videoconference) within 60 days of Ghost Social’s receipt of your notice. Ghost Social will do the same before bringing any claim against you. Completion of this informal resolution process is a condition precedent to filing any arbitration demand; an arbitrator shall dismiss any demand filed prematurely.

21.5 Exceptions

This Arbitration Agreement does not require arbitration of:

  • individual claims brought in small claims court, so long as the matter remains in small claims court and advances only on an individual basis;
  • claims of sexual assault or sexual harassment occurring in connection with your use of the Platform; or
  • claims for injunctive or other equitable relief to prevent actual or threatened infringement of intellectual property rights.

21.6 Arbitrator’s decision

An arbitrator’s decision shall be final and binding on all parties. The arbitrator may award declaratory or injunctive relief only in favor of the individual claimant and only to the extent necessary to provide relief warranted by that individual’s claim.

21.7 Opt-out

You may opt out of this Arbitration Agreement by emailing legal@ghostsocial.ai within 30 days of first accepting these Terms. Your opt-out notice must include your name and the email address associated with your Account.

21.8 Severability

If any part of this Arbitration Agreement is found unenforceable, that part shall be severed and the remainder shall continue in full force. If the class action waiver is found unenforceable as to a particular claim, that claim must be litigated in court on an individual basis.

21.9 Stay of litigation

If any party appeals a court order denying a motion to compel arbitration, all litigation of the claims at issue shall be stayed pending resolution of that appeal.

22. Changes to terms

We may update these Terms as needed. If changes are significant, we will notify you in advance. Continued use of the Platform means you accept the changes.

By using Ghost Social, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy.
